End User License Agreement

Please read this End User License Agreement ("Agreement") carefully before accessing or using the Young Israel of Memphis Member Portal ("Portal"). By logging in or creating an account, you agree to be bound by this Agreement. If you do not agree, do not use the Portal.

1. Parties

This Agreement is between Young Israel of Memphis ("YIOM", "we", "us", or "our"), a Jewish congregation located in Memphis, Tennessee, and you, the individual member or authorized user ("User") accessing this Portal.

2. Description of the Portal

The Portal is a private, members-only web application that provides access to:

• Personal membership account information and contact details
• Dues, donations, and financial transaction history
• Synagogue event information and communications
• Integrated financial data powered by QuickBooks Online
• Other member services as made available by YIOM from time to time

3. Eligibility and Account Access

Access to the Portal is limited to current or past members of Young Israel of Memphis and individuals expressly authorized by YIOM. You must:

• Be at least 18 years of age, or have parental/guardian authorization
• Provide accurate and complete registration information
• Maintain the confidentiality of your login credentials
• Notify YIOM immediately of any unauthorized access to your account

You are solely responsible for all activity that occurs under your account.

4. QuickBooks Integration

The Portal connects to Intuit QuickBooks Online to display your membership financial records, including dues balances, payment history, and charitable donation records. By using the Portal:

• You acknowledge that financial data displayed is sourced from YIOM's QuickBooks account and is provided for informational purposes
• You agree that YIOM may access, retrieve, and display your financial records from QuickBooks as part of the Portal's functionality
• You understand that discrepancies should be reported to the synagogue office for correction
• YIOM does not store your payment card or bank account credentials

QuickBooks Online is a product of Intuit Inc. and is subject to Intuit's own terms of service and privacy policy. YIOM is not affiliated with or endorsed by Intuit Inc.

5. Permitted Use

You may use the Portal solely for your own personal, non-commercial membership purposes. You agree not to:

• Share your login credentials with any other person
• Attempt to access any other member's account or data
• Scrape, crawl, or systematically extract data from the Portal
• Reverse engineer, decompile, or tamper with the Portal's software
• Use the Portal for any unlawful purpose or in violation of any applicable law
• Upload or transmit malicious code or disruptive content

6. Intellectual Property

All content, design, trademarks, and software comprising the Portal are the property of Young Israel of Memphis or its licensors. Nothing in this Agreement transfers any intellectual property rights to you. You may not reproduce, redistribute, or create derivative works from any Portal content without YIOM's prior written consent.

7. Disclaimer of Warranties

The Portal is provided on an "as is" and "as available" basis. YIOM makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted access. Financial data displayed is pulled from third-party systems and may not reflect real-time balances.

8. Limitation of Liability

To the fullest extent permitted by applicable law, YIOM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Portal, including any reliance on financial information displayed herein. YIOM's total liability to you for any claim shall not exceed the amount of dues paid by you to YIOM in the twelve (12) months preceding the claim.

9. Privacy

Your use of the Portal is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review it carefully to understand how we collect, use, and protect your personal and financial information.

10. Termination

YIOM may suspend or terminate your Portal access at any time, with or without notice, for any reason including violation of this Agreement or the end of your active membership. You may also request deletion of your account by contacting the synagogue office. Termination does not affect YIOM's rights or your obligations accrued prior to termination.

11. Modifications to this Agreement

YIOM reserves the right to update this Agreement at any time. We will indicate the effective date at the top of this page. Continued use of the Portal after a modification constitutes your acceptance of the updated terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Shelby County, Tennessee.
